This Enterprise Services Agreement ("Agreement") is entered into between Kolby AI, Inc. ("Provider") and the enterprise client identified in this intake form ("Client").
1. Services. Provider agrees to deliver the services described in the selected plan on a monthly subscription basis. Services commence upon receipt of the first payment.
2. Pricing. Client agrees to the price per minute confirmed during onboarding. This rate is locked for the initial term and subject to 30 days written notice before any change.
3. Automatic Billing. Client authorizes Provider to automatically charge the payment method on file on the same calendar date each month. Client will receive a receipt by email for each charge.
4. Cancellation. Either party may terminate this agreement with 30 days written notice. Prepaid fees are non-refundable except where required by law.
5. Confidentiality. Both parties agree to keep all proprietary information shared during the course of this engagement strictly confidential.
6. Liability. Provider's total liability shall not exceed the fees paid in the 3 months prior to the claim. Provider is not liable for indirect or consequential damages.
7. Governing Law. This agreement is governed by the laws of the state of Nevada, USA.
